Terms of Service

These terms govern your use of the TLC Dealer platform at tlcdealer.com, operated by Emincan Akyıldız, a sole proprietor based in Istanbul, Türkiye. By accessing or using the service, you agree to these terms. If you don't agree, don't use the service.

The service

TLC Dealer is a multi-tenant SaaS platform for HVAC distributors and their sub-dealer networks. We provide tools for inventory tracking, sales, dealer ledgers, pricing, and integrations with manufacturer and accounting portals.

Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of the company you represent. You are responsible for the accuracy of the information you provide.

Your account

  • You must keep your login credentials secure
  • You are responsible for all activity on your account
  • Notify us immediately of any unauthorized access
  • One account per individual; do not share login credentials

Subscription and payment

Pricing is published on the website at the time of sale. The Enterprise plan is billed monthly at $2,000 USD or its equivalent in TRY. Payment is due on the invoice date and is non-refundable except where required by law. We may adjust pricing with 30 days' written notice; existing terms remain in effect for any prepaid period.

Acceptable use

You agree not to:

  • Use the service for any illegal or fraudulent purpose
  • Attempt to circumvent security measures, rate limits, or access controls
  • Reverse-engineer, decompile, or scrape the service
  • Resell or sublicense access without our written consent
  • Upload malware, illegal content, or content you do not have rights to
  • Use the service to harass, abuse, or harm others

Your data

You retain all rights to data you upload to the platform ("Customer Data"). We process Customer Data on your behalf as described in our Privacy Policy. You grant us a limited license to host, process, and display this data solely for the purpose of providing the service.

Our intellectual property

TLC Dealer, including all software, design, branding, and documentation, is owned by Emincan Akyıldız. These terms grant you a limited, non-exclusive, non-transferable right to use the service. They do not transfer any ownership.

Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by sub-processors, force majeure, or circumstances outside our reasonable control.

Disclaimer of warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or meet your specific requirements.

Limitation of liability

To the maximum extent permitted by law, our total liability arising from or related to the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

Indemnification

You agree to indemnify and hold harmless TLC Dealer, its operators, and contractors against any claims arising from your use of the service, your Customer Data, or your violation of these terms.

Termination

Either party may terminate the service with 30 days' written notice. We may suspend or terminate immediately if you breach these terms. On termination, you may export your data within 30 days; afterward, we may delete it.

Governing law

These terms are governed by the laws of the Republic of Türkiye. Any disputes will be resolved in the courts and enforcement offices of Istanbul (Çağlayan). For consumers in the EU, mandatory consumer protection laws of your country of residence apply where they provide greater protection.

Changes to terms

We may update these terms. Material changes will be announced on this page and notified to active users by email at least 14 days in advance. Continued use after changes take effect constitutes acceptance.
